	BeatsDigital. Affiliate Program Terms and Conditions AFFILIATE AGREEMENT This Affiliate Program is operated by BeatsDigital Ltd, a company registered in England and Wales. Our company registration number is 5640706. Our registered office is at 35 Old Queen Street, London, SW1H 9JD. Our telephone number is +44 (0) 845 370 7773. Our fax number +44 (0) 845 370 7772. Our VAT registration number is 875993450. Beats Digital Ltd ("BeatsDigital", "we" or "us") provides access to the Affiliate Program ("the Program") to the applicant ("Affiliate" or "you") subject to the terms and conditions ("the Agreement") set out below. Please read the Agreement carefully before joining the Program. Joining the Program shall constitute acceptance by you of all the terms set out below. 1. Procedure for joining as an affiliate. First, submit a completed Program application via our site. We are entitled to reject your application if we decide, for whatever reason, that your site is unsuitable for the Program. We may also reject your application if you are participating in any other Program or offer from BeatsDigital. Our decision on acceptance or rejection of your application shall be final and you will have no right of challenge. 2. Linking to our site. After your application to become an Afflilate has been accepted by us, we will provide you with link formats which will track and report all links between your website and our site. You can provide one or more links from your site to ours. The proper use of the link formats will be your sole responsibility. We accept no responsibility for incorrect use of the links and link formats and we shall have no liability for any loss of fees which may arise from your misuse. 3. Commission. Subject to the terms and conditions of this Agreement, we will pay you; a) a referral fee for each customer you send to us who successfully registers (“a Registered Customer”); b) a commission for each purchase from our site by a Registered Customer. In this Agreement, references to a Registered Customer means only a Registered Customer referred by you from your site through the BeatsDigital link on your site. The Registered Customer must be a different person or organisation to yourself. Using this Program as a mechanism to obtain a discount on your own purchases on the site, by referring yourself, is not allowed. No referral will be paid for referring yourself, and no commission will be paid for purchases made by yourself. 4. Commission Schedule. You will be entitled to • a referral fee of 10 pence (£0.10) for every successful customer registration referred by you; • a base commission rate equal to eight percent (8%) of all net revenues generated by each Registered Customer. A percentage sale commission will not be paid for purchases made using "free download tokens". Referral fees and commission will be totalled and become payable to you at the end of each calendar month provided that the total is more than twenty five pounds sterling (£25). Any amount below this threshold will be carried over to the following month. 5. Retentions. If any purchase is refunded, we may withhold any payments to you resulting from that Registered Customer’s purchases. If at any time the commissions owed to you become less than the total deductions due to refunds as mentioned above you shall on demand immediately pay to BeatsDigital the difference. We shall retain and account to you for all withholding taxes or similar retentions required by law and shall supply written evidence to you of such withholdings and retentions. If the details we hold for you as an Affiliate are not accurate, we may withhold payments to you. It is your responsibility to notify BeatsDigital of any change in your details, such as email or postal address. We also reserve the right to cancel fees and/or commission if we find evidence of fraudulent attempts via your link to use our service. The Program relies on cookies to track customers. If the Registered Customer does not use cookies, or the cookie expires or is deleted, the Registered Customer cannot be tracked and you will not be entitled to any commission for any purchase that Registered Customer may make or have made. Our cookies expire after 90 days. 6. Status of Registered Customers. All Registered Customers who purchase products or services from BeatsDigital through the Program will be customers of BeatsDigital and all BeatsDigital terms and conditions, and operating procedures concerning the BeatsDigital services will apply. Our policies and operating procedures are subject to change at any time. 7. Licence. For so long as you are an Affiliate, but no longer, you shall have non-exclusive, revocable licence to use our logos and text, solely for the purpose of identifying your site as a Program participant. You may not transfer or sub-license the licence and we may revoke the license at any time. 8. Undertaking and indemnity. You will be solely responsible for all aspects of your site and for all content that appears on your site. You undertake not to be in any way involved in any activity that is prejudicial to the image and reputation of BeatsDigital. You acknowledge and agree that your website information, including name, URL, traffic counts, lists of member sites, etc may be utilized by BeatsDigital. You may be in receipt of proprietary information from BeatsDigital and you undertake not to share this information with any of our competitors. You will indemnify us against all claims, damages, and expenses (including, without limitation, legal fees) relating to the operation and content of your site and any materials or services provided by you. These obligations will continue following the termination of this Agreement. We shall be entitled to terminate this Agreement in the event of any breach of your obligations. 9. Term. This Agreement will start on acceptance of your application and shall continue until terminated by either party. Either party may terminate this Agreement at any time by giving to the other party written or emailed notice of termination. We may withhold your final payment to ensure that the correct amount is paid to you. Notwithstanding our general right to terminate, if after acceptance into our Program we decide that your site is not suitable for the Program, we may terminate this Agreement and you will cease to be an Affiliate. 10. Changes of terms. We may change any of the terms contained in this Agreement by posting new terms on our site. Your continued participation following the posting notice of any changes in terms and your continued participation in the Program will constitute acceptance by you of such changes. 11. Limitation of Liability. We will not be liable in any circumstances for indirect, special or consequential damages which you may suffer in connection with this Agreement or the Program. In any event, our aggregate liability in respect of this Agreement and the Program will not exceed the total of referral fees paid or payable to you under this Agreement. 12. Disclaimers. No warranties or representations of any kind, express or implied, with respect to the Program or any products sold through the Program are given or made by BeatsDigital. In particular, but without limitation, we make no representation that the operation of our site will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or errors. Our failure to enforce your performance of any provision of this Agreement will not preclude our right subsequently to enforce such provision or any other provision. 13. Independent Advice. You acknowledge that you have read this Agreement and have had the opportunity to take independent legal advice on its terms. You understand that we may at any time accept customer referrals on terms that may differ from those contained in this Agreement or operate web sites that are similar to or compete with your web site. You confirm that, in accepting the terms of this Agreement, you do not rely on any representation, warranty or statement other than as expressly set out in this Agreement. 14. No assignment. You may not assign this Agreement, by operation of law or otherwise, without our prior written consent. 15. Governing law and jurisdiction. This Agreement shall be governed by, and construed in accordance with English law. You and we irrevocably submit to the exclusive jurisdiction of the courts of England, save it is agreed that BeatsDigital shall be entitled to enforce its rights in the courts of other jurisdictions.
